Terms & Conditions

These Terms and Conditions ("Agreement") govern your use of the Lambent website at lambe.info and any services provided by Lambent ("Company", "we", "us", "our"). By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by this Agreement.

1. Definitions

  • "Agreement" โ€” these Terms and Conditions, as updated from time to time
  • "Service" โ€” AI consulting and implementation services offered by Lambent, including semantic search infrastructure, model retraining, and executive AI briefings
  • "User" / "you" โ€” any individual or organisation accessing the website or engaging our services
  • "Content" โ€” any text, data, reports, outputs, or materials produced or delivered by Lambent
  • "Confidential Information" โ€” any non-public information disclosed by either party in the course of a project

2. Acceptance of Terms

This Agreement is formed when you: (a) access or use our website, or (b) sign a service agreement or statement of work with Lambent. You must be at least 18 years of age and have the authority to enter this Agreement on behalf of your organisation. If you do not agree with any provision, please do not use our website or services.

3. Service Description

Lambent provides professional AI services to organisations in Hong Kong and the Asia-Pacific region. Current service offerings include:

  • Semantic Search Infrastructure โ€” design, deployment, and maintenance of AI-powered search systems tailored to your data environment
  • Model Retraining โ€” ongoing adaptation of machine learning models to reflect updated datasets, feedback loops, and performance targets
  • Executive AI Briefings โ€” structured, jargon-free presentations for leadership teams covering AI landscape developments, risk considerations, and adoption pathways

Service availability may be subject to capacity, geographic considerations, and individual engagement agreements.

4. User Responsibilities

Acceptable use

You agree to use our website and services for lawful purposes only. You must not:

  • Attempt to gain unauthorised access to our systems or data
  • Use our services to develop competing offerings without written consent
  • Provide false, misleading, or incomplete information during engagement
  • Infringe the intellectual property rights of Lambent or any third party
  • Use our website in a manner that disrupts or degrades performance for other users

Client responsibilities

Where Lambent is engaged to deliver a project, you agree to: provide timely access to relevant systems and data, designate a named point of contact, and review deliverables within agreed timeframes. Delays caused by your organisation may affect project timelines at no liability to Lambent.

5. Intellectual Property

All methodologies, frameworks, tools, and pre-existing intellectual property developed by Lambent remain the sole property of Lambent. Deliverables created specifically for a client under a signed agreement are assigned to the client upon full payment, unless otherwise stated in the engagement terms. You may not reproduce, distribute, or create derivative works from Lambent's proprietary materials without prior written consent.

6. Confidentiality

Both parties agree to keep Confidential Information disclosed during a project strictly confidential. This obligation survives termination of any engagement for a period of three (3) years. Exceptions apply where information is publicly available, independently developed, or required to be disclosed by law.

7. Payment Terms

Fees for Lambent services are agreed in individual statements of work or engagement letters. Unless otherwise specified:

  • Invoices are payable within 30 days of issue
  • All fees are quoted in Hong Kong Dollars (HKD) unless stated otherwise
  • Late payments may incur interest at 1.5% per month
  • Lambent reserves the right to suspend services if invoices remain unpaid after 45 days

8. Refunds and Cancellations

Cancellation terms are specified in individual engagement agreements. As a general principle: work completed to the point of cancellation is billable; retainer fees paid in advance are non-refundable unless Lambent is unable to deliver the agreed scope for reasons within our control. Disputes regarding fees should be raised in writing within 14 days of invoice receipt.

9. Disclaimer of Warranties

Our website and general informational content are provided "as is" without warranties of any kind. Lambent does not warrant that the website will be uninterrupted, error-free, or free of harmful components. AI outputs and recommendations are professional guidance, not guarantees of specific business outcomes. You are responsible for decisions made based on our work product.

10. Limitation of Liability

To the maximum extent permitted by Hong Kong law, Lambent's total liability to you for any claim arising from these terms or our services shall not exceed the total fees paid by you in the three months preceding the claim. In no event shall Lambent be liable for indirect, consequential, incidental, or punitive damages, loss of revenue, loss of data, or reputational harm.

11. Indemnification

You agree to indemnify and hold harmless Lambent, its directors, and employees from any claims, losses, or expenses (including reasonable legal fees) arising from: your breach of this Agreement, your misuse of our services, or any third-party claims resulting from your use of our deliverables in an unauthorised manner.

12. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant engagement agreement. Lambent may immediately suspend or terminate access to the website if you breach any provision of this Agreement. Clauses relating to intellectual property, confidentiality, indemnification, and limitation of liability survive termination.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for binding arbitration, with proceedings conducted in English.

14. General Provisions

  • Entire Agreement โ€” this Agreement (together with any signed engagement letter) constitutes the entire understanding between the parties
  • Severability โ€” if any provision is found unenforceable, the remaining provisions continue in full effect
  • Waiver โ€” failure to enforce any provision does not constitute a waiver of future enforcement rights
  • Assignment โ€” you may not assign your rights under this Agreement without Lambent's prior written consent
  • Notices โ€” formal notices should be sent to the contact details below or to the email address registered during engagement

15. Changes to These Terms

We may revise this Agreement from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes take effect constitutes acceptance of the revised terms. Material changes affecting active engagements will be communicated directly.
